CLUBESSENTIAL AND CHRONOLOGIX/SPASOFT MERGE

Scottsdale, Arizona – Steven F. Elliott, CEO of clubessential, inc., and Joel Friedman, CEO of Chronologix/Spasoft, announced today that the two companies have merged, forming a leading communication and scheduling technology company serving the leisure industry.

“With this transaction, we advance our mission to improve the way members and guests communicate and interact with their club, resort or leisure destination,” Mr. Elliott said. “By marrying clubessential’s dynamic, web-enabled communication solution with the very robust Chronologix scheduling engine, the market will be newly served with a unique way to manage hospitality facilities, serve guests and increase the bottom line.”

Clubessential is a leading web communication solution company delivering private, interactive, easy to use web sites to more than 120 high-end clubs. The Chronologix technology is the number one provider of spa scheduling software in their market with a client base including many day spas and resort groups, as well as independent four and five star resorts around the world. This synergistic combination creates a one of a kind company boasting more than 250 high-end and resort clients.

“While Chronologix was dominating the spa market through our activity management solution, the ability to integrate, interface and web enable this product will revolutionize the tool,” Mr. Friedman said. “We’re excited to deliver this opportunity to our clients and investors. We believe that by being merged with clubessential we will grow faster and farther over time than as a standalone company.”

“I am absolutely thrilled to have Joel Friedman and his partners as part of the clubessential team,” Mr. Elliott said. “They are true software pioneers and visionaries who are anxious to expand their technology beyond the spa market and into resort-wide scheduling. Having Joel’s enormous expertise in overseeing and driving the combined sales and marketing operations of the two companies is a very significant asset for clubessential going forward.” Mr. Friedman will become Senior Vice President of Sales and Marketing for the combined company.

Todd Wood, president and COO of clubessential, added, “This transaction dramatically strengthens clubessential’s growth and product offering. Chronologix has strong relationships with leading spas and resorts and deep expertise with scheduling software and associated resource management services. The acquisition will enable us to provide scheduling and activity management solutions to any resort or club web site.”

Clubessential clients will find that by web-enabling activity scheduling, members and customers will benefit from the increased convenience and lower costs the Internet can offer over traditional communication methods. In addition, with the increased utility of each Internet site, the brand of each client’s URL will grow in value. Clubessential strives to reinforce this brand and increase its value, not supersede it.

The merger is part of clubessential’s continuing goal to be the industry’s leading resort and club Internet-based software company. This union further solidifies clubessential’s leading role in the marketplace by incorporating Chronologix’s scheduling and time management software, known as Activity Management Software (AMS), with its own branded technology. The integration of these companies will provide the best web-enabled activity scheduling technology solution available to today’s amenity oriented leisure businesses, including golf, city, beach, tennis and other types of clubs, resorts and day spas. Leisure oriented businesses are discovering that they need a more sophisticated and diverse scheduling solution to manage the myriad of activities and events provided throughout their organizations. Some of these offerings include tee times, spa appointments, tennis reservations, dining, event planning, lessons and multiple recreation activities. Resort, club and spa staff must be able to access a multitude of departments in order to provide their clients with the quickest and most efficient response to their scheduling requests. These basic scheduling solutions are just the beginning of the capabilities clubessential plans to offer its customers.

The prestigious high-end golf management company, Troon Golf, has already agreed to utilize the clubessential/Chronologix software as their club scheduling and communication system company wide. Troon Golf’s properties include Troon North Golf Club in Scottsdale, Arizona, Turnberry Hotel, Golf Courses & Spa in Ayrshire, Scotland, The Westin La Paloma in Tucson, Arizona, and The Ridge at Castle Pines North in Castle Rock, Colorado and The Ocean Club at Paradise Island in the Bahamas. Troon Golf will also hold an equity investment position in clubessential.

Dana Garmany, chairman and CEO of Troon Golf, said, “the clubessential software has enabled club members and managers to communicate with flexibility and ease. The addition of a robust scheduling and resource management solution will be a boon to the customer experience while positively impacting our bottom line.” Mr. Garmany agreed to serve as a member of the board of directors of the combined company. In conjunction with the Chronologix merger, clubessential also closed on $7.7 million of additional funding from KSL Recreation Corporation (KSL), Kohlberg Kravis Roberts & Co. (KKR), and Robert H. Lessin, Chairman and CEO of Wit SoundView Group. KSL today owns and operates a geographically diverse $1.5 billion portfolio of some of America’s most celebrated destination resorts, clubs, and health and wellness spas.
